NON-DISCLOSURE AGREEMENT

This "Agreement" is entered into on [Date], by and between:

TranslateProf

(hereinafter referred to as the "Translator")

and

[Customer Name]

(hereinafter referred to as the "Customer")

1. PURPOSE

The purpose of this Agreement is to ensure the protection and confidentiality of all documents, information, and materials provided to the Translator by the Customer solely for the purpose of translation services.

2. DEFINITION OF CONFIDENTIAL INFORMATION

Under this Agreement, "Confidential Information" refers to all non-public information, documents, and materials provided by the Customer to the Translator in written, oral, or electronic form, concerning the Customer's commercial, legal, personal, or technical matters.

3. CONFIDENTIALITY OBLIGATIONS

The Translator acknowledges and undertakes the following:

• To keep all Confidential Information strictly confidential;
• To use Confidential Information solely for the purpose of providing translation services to the Customer;
• Not to share any Confidential Information with third parties without the prior written consent of the Customer;
• To take reasonable precautions to prevent unauthorized access to Confidential Information;
• To ensure that every employee, contractor, or subcontractor involved in the translation project is subject to similar confidentiality obligations.

4. EXCEPTIONS

The obligations under this Agreement do not apply in the following cases:

• a) Information that becomes public knowledge through no fault of the Translator;
• b) Information that must be disclosed due to legal requirements (provided that the Translator notifies the Customer in advance to the extent possible);
• c) Information lawfully known by the Translator prior to disclosure by the Customer.

5. DURATION

This Agreement becomes effective on the date specified above and remains valid as long as the business relationship between the parties continues. Confidentiality obligations shall remain in effect indefinitely after the termination of this Agreement.

6. LEGAL REMEDIES

In the event of a breach of this Agreement by the Translator, the Customer has the right to pursue any legal remedies deemed appropriate. This includes, but is not limited to, the right to seek injunctive relief and to file a lawsuit for the compensation of proven damages arising from the breach.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United States. The courts located in the State of Georgia shall have exclusive jurisdiction over all disputes arising from or in connection with this Agreement.

8. MISCELLANEOUS PROVISIONS

This Agreement constitutes the entire understanding between the parties regarding this subject matter and supersedes all prior written or oral discussions and agreements. This Agreement may only be modified in writing and signed by both parties.
